XXXXXXXX KNOW ALL MEN BY THESE PRESENTS JOHN S. DRUM, being the President, and JULIUS H. ELLIS, being the Secretary, and WILLIAM B. BOSLEY, JOHN S. DRUM, FRED T. ELSEY, THOMAS TURNER AND LEO H. SUSMAN, being the holders and owners of all of the subscribed and issued shares of the capital stock of the YOSEMITE VALLEY RAILROAD COMPANY, a corporation duly organized and existing under and by virtue of the laws of the State of California, and having its office and principal place of business in the City and County of San Francisco, State aforesaid, do hereby certify, (1) That a special meeting of the stockholders of the said Company was held at the office of said Company in the Mills Building in the said City and County of San Francisco on Thursday the 5th day of October, 1905, at the hour of four o'clock P. M., and that the holders and owners of all of the subscribed and issued shares of the capital stock of said Company were present at said meeting, consented to the holding and participated in all of the proceedings thereof; (2) That at said meeting said stockholders duly adopted by unanimous vote a resolution of which the following is a full, true and correct copy, viz:
XXXXXXXX "BE IT RESOLVED by the Stockholders of the YOSEMITE VALLEY RAILROAD COMPANY that the number of the Directors of this Corporation be and it is hereby increased from five (5), the present number of its Directors, to seven (7), and that the board of Directors of this Corporation shall hereafter consist of seven (7) members; and. that the President and Secretary of this Corporation be and they are hereby directed to execute and file a certificate of this increase in the number of the members of its Board of Directors, in compliance with the provisions of Section 290 of the Civil Code of the State of California." (3) That the number of the Directors, of the said Company has been increased from five (5), the previous number of its Directors, to seven (7), and that the Board of Directors of said Company shall hereafter consist of seven (7) Directors.

ELLIS, being first duly sworn, deposes and says: That he is now, and at the time of the execution of the annexed certificate was, the duly elected, qualified and acting Secretary of the YOSEMITE VALLEY RAILROAD COMPANY, a corporation duly organized and existing under and by virtue of the laws of the State of California, having its offices and principal place of business in the City and County of San Francisco, State aforesaid; that JOHN S. DRUM is now, and at the time of the execution of the annexed certificate was, the duly elected, qualified and acting President of said Company; That WILLIAM B. BOSLEY, THOMAS TURNER, JOHN S. DRUM, FRED T. ELSEY and LEO H. SUSMAN are now, and at the time of the execution of the annexed certificate were, the holders and owners of all of the shares of capital stock of said Company which have been either subscribed for or issued, and that all and singular the statements contained in said certificate are true.
